Shell's Shareholder Showdown Looms as Buyback Program Concludes

As Shell's latest $3.5 billion share buyback program enters its final days, the energy giant is navigating a volatile mix of geopolitical disruption, surging trading profits, and mounting investor pressure over its climate strategy. The program, which concludes on May 1, marks the 17th consecutive quarter of massive capital returns to shareholders.


The company has accelerated its purchases in recent weeks. On April 21 alone, Shell acquired approximately 1.3 million of its own shares across European exchanges like London and Amsterdam, with Morgan Stanley executing the trades. These shares will subsequently be cancelled. This final push follows a disciplined capital strategy implemented after Shell missed earnings expectations in the fourth quarter of 2025.


Investors are now looking ahead to a pivotal few weeks. On May 7, the company will release its first-quarter results. Early indications suggest its oil trading division performed significantly better than in the prior quarter, while marketing earnings are also expected to show strong year-on-year growth. Refining margins have risen to $17 per barrel, aided by the restart of the key Pernis refinery in Rotterdam following a leak.


However, the operational landscape is fraught. Recent rocket attacks in the Middle East damaged facilities, including the Pearl GTL plant in which Shell has a stake. Repairing one train of that plant is expected to take up to a year.


The annual general meeting in London on May 19 will bring another layer of tension. Activist shareholder group Follow This has filed a resolution demanding more detailed plans for a scenario of declining oil and gas demand. This proposal has gained unprecedented support from a coalition of current and former Shell employees and institutional investors representing substantial financial weight. The board recommends voting against the resolution, arguing its current disclosures are sufficient—a contrast to BP, where management recently removed a similar item from its agenda.


Financially, the relentless buyback strategy has supported the share price. The stock currently trades around €38.17, marking a gain of nearly 19% since the start of the year. Historically, these buybacks were executed at prices averaging 20% below current levels. Over the past three years, the program has retired roughly a quarter of Shell’s outstanding shares.


With the current buyback ending, the market widely anticipates an immediate announcement of a new multi-billion dollar program, likely around the May 7 earnings date. Shareholders will also vote at the AGM to formally authorize further repurchases. This capital return policy, which sees Shell paying out nearly half of its operational cash flow to investors, remains a cornerstone of its appeal even as strategic questions about its long-term future intensify.
