PayPal's Legal and Structural Overhaul Casts Shadow Over Q1 Report

PayPal shares are trading at a significant discount to its peers, with a forward price-to-earnings ratio of just 9.1 compared to a sector average near 17. This valuation gap underscores the intense scrutiny the company faces as it prepares to report first-quarter 2026 results before the market opens on May 5.


The upcoming earnings follow a tumultuous period that began in February. The company posted disappointing fourth-quarter figures, missing revenue expectations despite a rise to $8.7 billion and reporting adjusted earnings per share of $1.23. In a move that rattled investors, PayPal withdrew its long-term financial targets for 2027 and announced a surprise CEO change. The stock plummeted over 20% in a single day to $41.70. Since the start of the year, the share price remains down by approximately 13-14%.


Adding to the pressure are three active class-action lawsuits. A critical deadline passed on April 20 for lead plaintiffs to join a securities fraud case. This lawsuit targets shareholders who held PayPal stock between February 2024 and February 2026, alleging management misled investors about the core business's health. Two other legal proceedings are ongoing. One involves the Honey browser extension, accused of siphoning commissions from content creators, while another alleges PayPal used illegal agreements to prevent merchants from offering cheaper checkout alternatives.


Amid these challenges, PayPal is executing a significant operational shift. Since April 20, its cryptocurrency services have been moved to a new subsidiary, PayPal Digital, Inc., pending regulatory approval. This restructuring aims to create a clear separation between traditional payments and digital asset custody. The company's proprietary stablecoin, PYUSD, is now available in 70 markets, facilitating faster and cheaper cross-border transfers.


For the first quarter, Wall Street anticipates earnings per share of $1.27, which would represent a decline of roughly 4.5% year-over-year. Management expects currency-adjusted revenue growth in the low single digits. Full-year 2026 analyst projections stand at $5.31 per share, indicating no growth from the 2025 level.

The company is attempting to counterbalance its headwinds with growth initiatives. PayPal's payment links are now directly integrated into Canva, a platform boasting 265 million monthly users globally. A partnership with Meta allows Facebook users to purchase products with a single tap without leaving the app. Within its own ecosystem, the Venmo platform is seeing double-digit percentage growth in transaction volume, bolstered by an expanded bonus program called Stash that offers up to five percent cashback at select merchants.


The competitive landscape remains fierce. PayPal's U.S. user base is forecast to grow by less than one percent in 2026 to about 92 million users. Over the same period, Apple Pay is projected to reach 90.5 million U.S. users, dramatically narrowing the gap.


Of 43 analysts covering the stock, 29 maintain a "Hold" rating. The average price target is $50.67. The share price, recently around $49.81, still trades roughly 36 percent below its 52-week high of 67.50 euros from last July. For the full year, PayPal plans to generate over $6 billion in free cash flow, with share buybacks of a similar magnitude anticipated. The May 5 report will be a critical test of whether operational moves and financial discipline can shift the narrative away from legal and competitive concerns.
