Thursday February 3, 2:50 pm ET Cerus to Pay Baxter $34.5 Million to Settle Loan Dispute; Companies Resolve Intercept Issues DEERFIELD, Ill. (AP) -- IV supplies maker Baxter International Inc. and Cerus Corp., a developer of blood-safety technology, said Thursday they agreed to market and develop the Intercept blood system in Europe at least through 2006, and resolved their loan dispute and related legal actions. The new agreement includes revised development, marketing and manufacturing responsibilities for each partner related to the Intercept blood system for plasma and red blood cells. Under a separate agreement, Cerus will immediately pay $34.5 million to Baxter Capital Corp. and provide a promissory note for $4.5 million, payable with interest in December 2006. Baxter Capital has agreed these payments satisfy the loan obligation. The companies said this deal doesn't change their relationship with Asian partner, BioOne Corp. In 2004, the companies announced an agreement under which BioOne would market and distribute the Intercept blood system for platelets in Japan, China, Taiwan, South Korea, Thailand, Vietnam and Singapore. Baxter shares rose 34 cents to $34.31 in afternoon trading on the New York Stock Exchange. Cerus shares rose 13 cents, or 3.5 percent, to $3.90 on the Nasdaq. |
