The recent commissioning of the Borouge 4 polyolefin complex in Abu Dhabi marks a significant operational milestone for OMV. This move provides the first tangible evidence that the company's new corporate structure is functional beyond theoretical plans. The timing is crucial, coming just ahead of the first-quarter trading update scheduled for April 9.
Financial Implications and Production Scale
OMV holds a 30% stake in the Borouge 4 facility, with the remaining 70% owned by ADNOC. The complex features an ethane cracker with an annual capacity of 1.5 million tonnes and can produce 1.4 million tonnes of polyethylene each year. Operations are set to ramp up gradually throughout the current year.
From a financial perspective, OMV anticipates the new project will contribute a cumulative net profit of $400 million. Once fully operational, it is expected to boost annual earnings by approximately 10%. The launch elevates the total capacity of the newly formed Borouge Group International AG to 13.6 million tonnes across its facilities in Europe, the Middle East, and North America. The entity has identified annual EBITDA synergies exceeding $500 million, with plans to realize 75% of this figure within the first three years.
Dividend Policy Transition
This strategic expansion involves a short-term adjustment to shareholder returns. For the 2026 financial year, Borouge International will only distribute its second dividend tranche. Consequently, the impact on OMV's per-share dividend is projected to be reduced to a range of €0.60 to €0.70. A new distribution model will be fully implemented starting in 2027. From that point, OMV shareholders will receive 50% of the dividends forwarded by Borouge International, plus 20% to 30% of OMV's own operational cash flow.
For the 2025 financial year, the management board will propose a total distribution of €4.40 per share at the Annual General Meeting on May 27. This consists of a regular dividend of €3.15 supplemented by a special dividend of €1.25.
Market Context and Analyst Sentiment
OMV approaches its April 9 update from a position of strength. Its adjusted net income for 2025 reached €1.94 billion, surpassing analyst consensus estimates by 3%, while its leverage ratio remains manageable at 14%. Management forecasts that beginning in the second quarter of 2026, Borouge Group International will contribute roughly €140 million per quarter. This additional income stream is designed to gradually lessen the group's structural reliance on oil price fluctuations.
However, not all market observers share this optimism. RBC Capital Markets recently downgraded OMV to "Underperform," citing global overcapacity in the chemicals sector, weak refinery margins, and low European natural gas prices. The equity has gained about 28% since the start of the year and is currently trading near a 52-week high. This elevated position sets a clear benchmark for the upcoming trading update to meet market expectations.
