
Actelis Networks is engaged in a critical struggle to maintain its listing on the Nasdaq technology exchange. The company's share price continues to trade below the crucial one-dollar threshold, despite having already executed a reverse stock split. Management is now pursuing a formal hearing and exploring new capital-raising strategies to avert an imminent delisting.
Operational Performance Amid Financial Strain
Even as it battles to stay listed, Actelis Networks has reported recent operational progress. In late January, the firm secured new orders from a major European natural gas provider and a large US telecommunications company. These contracts demonstrate that underlying demand persists for its networked security solutions designed for critical infrastructure, including utility and rail networks.
Investors are set to receive a clearer picture of the company’s financial health at the end of March, when Actelis is expected to release its fourth-quarter 2025 results.
A Timeline of Compliance Efforts
The situation reached a critical point in early February when Actelis received an official notification from Nasdaq. The exchange issued the warning because the company’s stock had closed below the required minimum bid price for 30 consecutive business days. In response, Actelis requested a hearing before a Nasdaq panel on February 11. This action automatically delays any potential suspension of trading while the review process is underway.
This is not the first measure Actelis has taken to address its stock price. Back in November 2025, the company implemented a 1-for-10 reverse stock split in an effort to lift its share price above the one-dollar mark. However, this adjustment proved temporary, and the stock has since declined back below the compliance level, putting the company under renewed pressure.
A Pivotal Shareholder Vote in April
The central element of Actelis’s plan to salvage its Nasdaq listing is a special shareholder meeting scheduled for April 13. At this meeting, investors will vote on a proposal to issue new shares under an equity agreement. The primary objective of this capital measure is to raise fresh funds and, crucially, to increase the stock’s market value beyond Nasdaq’s minimum requirements.
The final decision regarding the company’s future capital structure will be made during this April 13 assembly.
