ASML Charts Ambitious Course Amid Leadership Reshuffle and Investor Scrutiny

ASML Holding NV is navigating a period of significant transition, underscored by a robust financial performance and strategic shifts in its corporate governance. At its Annual General Meeting held on April 22, 2026, shareholders endorsed a slate of measures that solidify the company's financial strategy while welcoming new leadership, all against the backdrop of raised annual targets.


The meeting yielded approval for a final dividend of €2.70 per share. Combined with three interim dividends of €1.60 each paid earlier, this brings the total payout for fiscal 2025 to €7.50 per share, marking a 17 percent increase from the prior year. This return to shareholders arrives as the stock trades near record levels. Having more than doubled from its 52-week low in April 2025, the share price recently stabilized around €1,257, just shy of its all-time high and representing a 27 percent gain since the start of the year.


Governance changes were a central pillar of the AGM. The company's management board will expand to six members. Marco Pieters was appointed as the new Chief Technology Officer for a four-year term, while CFO Roger Dassen was reappointed for four years and COO Frédéric Schneider-Maunoury for two. On the supervisory board, Alexander Everke stepped down and was succeeded by Benjamin Loh, the former CEO of ASM International. Terri Kelly was reappointed for two years and An Steegen for four. Shareholders also confirmed PricewaterhouseCoopers as the external auditor from 2027 onward.


These decisions are underpinned by a powerful first-quarter report. ASML posted net sales of €8.8 billion with a gross margin of 53 percent, while net profit reached €2.8 billion, comfortably exceeding market expectations. The high-margin service business shone particularly bright, growing 25 percent year-over-year. Based on this momentum, CEO Christophe Fouquet raised the full-year 2026 revenue guidance to a range of €36 to €40 billion, up from a previous forecast of €34 to €39 billion. He attributed the upgrade to customers "massively accelerating" their capacity expansion plans for the coming years.


However, the quarterly report was not without controversy, which initially tempered investor enthusiasm. For the first time, management opted not to disclose the precise figure for quarterly bookings, a metric long considered a key forward-looking indicator. This omission caused notable unease, with Ben Barringer, technology analyst at Quilter Cheviot, noting it as the reason for initial market skepticism. On the day of the earnings release, the stock fell by six percent despite the strong operational numbers, though it has since recovered.

Looking ahead, the company's capital allocation strategy received a strong mandate. Shareholders authorized a new share buyback program allowing the repurchase of up to 10 percent of issued share capital by October 2027, pending supervisory board approval. Additional authorities were granted to issue up to 5 percent of share capital for general purposes and another 5 percent for mergers and acquisitions, along with the power to cancel up to 10 percent of treasury shares.


Technologically, the current Low-NA EUV business remains the workhorse, with plans to produce 60 systems this year. The delivery of 79 lithography systems in Q1 demonstrates ongoing execution. All eyes are now on the rollout of the next-generation High-NA EUV machines, which form the cornerstone of ASML's long-term ambition to achieve up to €60 billion in annual revenue by 2030. Fouquet acknowledged that the relatively wide 2026 revenue target range helps buffer potential geopolitical risks, explicitly referencing ongoing discussions around export controls.


The next test for the upgraded outlook will come with the half-year results in July. Until then, the market will be watching closely, balancing ASML's formidable operational strength against its evolving communication strategy and the broader geopolitical landscape.
