ARS Networks, Incorporated (ARS) is focused on the marketing of fire-retardant doors. The Company was originally organized to design and develop advanced railway communications and data management systems. In July 2000, ARS completed the purchase of T & T Diesel Power, Ltd. (T & T), a manufacturer of custom diesel power generating equipment. However, under performance by T&T resulted in its sale in January 2003. On March 28, 2003, ARS entered into a letter of intent with Alexander and Wade Inc. to acquire 100% of its wholly owned subsidiary, Majestic Refilter, Ltd. (Majestic Refilter). On April 8, 2003, the Company approved the transaction. On April 25, 2003, ARS acquired all of the outstanding common shares of HMM Capital Holdings Inc. (HMM), and, with this transaction, also acquired the license to distribute the ARS Fire Safety Tec fire-retardant doors.
