Hartcourt Anticipates Better Than Expected Second and Third Quarter Results

Los Angeles, CA. 7/20/01 -- The Hartcourt Companies Inc. (OTC: HRCT; Frankfurt: HCT), www.hartcourt.com, a holding and development enterprise building a broad network of internet, media, and telecommunication companies in Greater China, provided today an update on financial business events in accordance with SEC Regulation FD.

Finalizing Hartcourt's majority ownership positions in Sinobull Group, Elephant Talk Limited and StreamingAsia Limited will allow Hartcourt to record a significant increase in revenues for 2001, beginning in the second quarter. Expected revenues for Q2 are estimated between 1.6 and 1.8 million U.S. dollars, which is a 600% increase over Q1 2001 and a 425% increase over Q2 2000. Hartcourt also estimates Q3 revenues to be between 3.2 and 3.5 million U.S. dollars, a 950% increase over Q3 2000. Hartcourt expects operating loss of one cent (.01) per share for Q2 2001 as compared to loss of two cents (0.02) per share for Q1 2001.

Mr. Manu Ohri, Chief Financial Officer of Hartcourt, commented: "The completion of Sinobull Group and ElephantTalk acquisitions allows us to report financial results that substantially enhance the value of the company and provide the cornerstone for our future growth and profitability. Hartcourt's mission is to provide an attractive return on investment for Hartcourt shareholders through a combination of managed internal expansion and strategic acquisitions. Hartcourt plans to continue to drive increasing and diversified revenues through accretive acquisitions in its four main divisions: Sinobull Group, StreamingAsia, ElephantTalk and E-Education.

"Hartcourt is rapidly achieving its goal to provide a strong, growing, diversified and sustainable revenue base throughout its operations. We are working hard to become cash flow positive as we refine our operational efficiencies, increase our margins and continue to identify and pursue the best business opportunities available and are developing a clear path to profitability for our current and future businesses."

As shown in the accompanying financial statements, Hartcourt incurred net losses of $6,790,879 and $7,862,468 for the years ended December 31, 2000 and 1999, respectively. In addition, Hartcourt`s working capital deficit of $2,227,687 is not adequate to meet its minimum monthly expenses. These factors, as well as negative cash flows from operations of $2,513,094, Hartcourt`s inability to meet debt obligations, and the need to raise additional funds to accomplish its objectives, create substantial doubt about Hartcourt`s ability to continue as a going concern. .....
The main financing sources of Hartcourt are the line of credit from the bank, issuance of long term debt, proceeds from issuance of its common stock, and proceeds on exercise of its options and warrants.
