The financial services provider, which became a public entity via a merger with FTAC Emerald Acquisition in February of last year, has executed a comprehensive restructuring plan. This move simultaneously reduces debt and unlocks valuable digital asset holdings.

Unlocking Bitcoin Reserves While Reducing Obligations

A central component of the restructuring involved the elimination of convertible notes totaling $66.3 million. As a direct result, 521 Bitcoin (BTC) that were previously held as collateral against these obligations have been released. The company financed this initiative using a mix of existing cash reserves and the issuance of a new, unsecured senior note worth $13.0 million.

Management highlights that this significantly simplifies the firm's capital structure. By clearing these convertible debts, Fold has removed a mechanism that could have led to the dilution of existing shareholders' equity. Convertible instruments typically carry the right to be exchanged for new shares, which increases the total number of shares outstanding.
